TERMS and CONDITIONS

The client representing himself or herself or their designated organization desire to hold a function at Woodbine Events LLC herein referred to as Woodbine. The client will be totally responsible for the conduct of all guests, invitees, employees, contractors, agents or members. The client and organization (if applicable) will be individually and jointly liable for the fulfillment of all terms and conditions of this contract.

Performance of this contract is contingent upon the ability of Woodbine to complete same and is subject to conditions known as force majeure. These conditions include but are not limited to any conditions beyond the control of Woodbine such as fire, flood, storm damage, power interruption, strikes, picketing, accident, emergency conditions, local, state or federal government requisitions, material shortages, or restrictions upon travel. In no event shall Woodbine be liable for the loss of profit, collateral of any type, or any consequential damages whether based upon breach of contract, warranty or otherwise. Further, in no event shall Woodbine's liability be in excess of the total amount of the food and beverage charges actually paid by the client.

Woodbine reserves the right to make any substitutions as long as these substitutions are of equal or greater quality and value.

Woodbine is not responsible for the loss of or damage to any personal property, merchandise, or articles left at Woodbine prior to, during, or after any function.

Smoke machines, bubble machines, pyrotechnics, fireworks or firearms of any kind are not permitted on premises.

All displays, exhibits, and AV or music equipment must conform to all local and state ordinances and codes. They all must be free standing with no attachments to walls, ceilings, or floors. Woodbine reserves the right to designate the area for all equipment and subcontractor services (service groups) such as but not limited to photographers, video taping, floral services, disc jockeys, sound or video systems, screens, cables, etc. All service groups must be approved prior to entering the building and may not enter the building prior to the setup time specified by Woodbine. All service groups must enter the building or make deliveries at an entrance specified by Woodbine. Client must provide Woodbine with certificates of insurance for all service groups providing services to the client a minimum of 48 hours prior to the function.

Client will incur a $1.00 charge for chair covers supplied and installed by an outside service.

All base pricing is guaranteed when client and Woodbine representative sign this contract. Taxes and fees are subject to change. All deposits are non-transferable.

In order to book a room, the client may be required to guarantee an adult guestroom minimum count. If the actual client adult guest count is less than the minimum adult room count guarantee, a room rental charge based upon 50% of the event cost per adult guest will be charged for each person short of the room guarantee count.

Consumption of alcoholic beverages by all patrons will conform to all laws of the Village of Homer Glen and the State of Illinois. Under no circumstances will shots be served to persons attending any event.

Client agrees to purchase all foods, pastries, alcoholic and non-alcoholic beverages from Woodbine. Client's guests, invitees, employees, contractors, agents or members may bring no such items into or allow same to be removed from Woodbine.

Client agrees that the premises must be vacated no later than the "END" time specified on this contract irregardless that the client has entered into a contract with a service group to perform a service for the client beyond the end time of the function. The terms of this contract regarding "END" time take precedence over and supercede any agreement that the client may have with any service group.

This agreement shall be deemed a contract under the State of Illinois and any legal action by or against the client will be brought in the courts of the State of Illinois. Client consents to the jurisdiction of such courts and that the venue for any such action will be the County of Will. In the event that Woodbine is forced to enter into legal action to enforce its rights or to recover damages, Woodbine shall be entitled to recover its cost of collection including, but not limited to, attorney fees and court costs.

Woodbine may assign its obligations under this contract without client's consent. Customer will be notified of such assignment in writing at the address set forth in this contract. Upon such assignment and notice, Woodbine shall be relieved of all obligations hereunder and client shall seek enforcement of this contract solely against Assignee. Client further waives and releases any claims client may have at law or in equity against Woodbine upon such assignment.

In the event that client fails to make any deposit within seven (7) days of the stipulated due date, Woodbine may at it's sole discretion deem this contract to be cancelled by the client.

Client has read and agrees with all terms and conditions of this contract.

In the event of cancellation of this function with less than six (6) months notice by the client for any reason, then no part of the deposited funds or final payment is refundable. ______________(Initials)
